Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of Palto, a billing and client-communication platform for service businesses. Palto lets you create and send invoices, schedule jobs and appointments, message clients on WhatsApp, and bill clients on a recurring basis.
The Service is provided by Digivet Systems (PTY) LTD (operating as "Palto"). In these Terms, "Palto", "we", "us", and "our" mean Digivet Systems (PTY) LTD. "You" and "your" mean the business and the people who use the Service.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Palto provides software to help service businesses run their billing and client communication, including:
- Creating, sending, and tracking invoices and quotes
- Sharing invoices and messages with clients via WhatsApp
- Scheduling jobs and appointments
- Recurring and monthly billing of clients
- Recording payments and basic reporting
We may add, change, or remove features over time to improve the Service.
3. Plans
3.1 Free
The Free plan lets you:
- Create and send invoices
- Share each invoice with a WhatsApp share link
- Finalise up to 20 invoices per month
- Use a single user account
The Free plan is offered at no charge and may be subject to reasonable usage limits.
3.2 Pro
The Pro plan is a paid subscription that unlocks the full Service, including higher or unlimited invoice volumes, multiple users, scheduling, recurring billing, and additional features as published on our pricing page.
New Pro accounts include a 30-day trial with no card required. After the trial, continued use of Pro features requires an active paid subscription. Subscription fees, billing cycles, and what each plan includes are described on our pricing page and may be updated from time to time. If we change pricing for an existing subscription, we will give you reasonable notice.
4. Your Account
You are responsible for:
- Keeping your account credentials secure
- All activity that happens under your account
- The accuracy of the information you provide
- Ensuring that everyone you give access to also complies with these Terms
You must be authorised to act on behalf of the business that holds the account.
5. Acceptable Use
You agree not to use the Service to:
- Break any law, or infringe anyone's rights
- Send spam, unlawful, deceptive, abusive, or harassing messages
- Send messages to clients without a lawful basis or the consents required (including for WhatsApp messaging)
- Upload malware or attempt to disrupt, probe, or gain unauthorised access to the Service
- Resell or provide the Service to third parties except as expressly permitted
We may suspend or terminate accounts that breach these Terms or that put the Service, other users, or third parties at risk.
6. Your Data and Ownership
The data you load into Palto — including your client lists, invoices, and messages — belongs to you. We do not claim ownership of your business data.
You grant us the limited right to host, process, and transmit your data only as needed to provide the Service to you (for example, to deliver an invoice via WhatsApp or to process a payment).
You can export your data from the Service at any time while your account is active, and you remain responsible for having a lawful basis to process the personal information of your own clients.

7. Payments
Paid subscriptions are billed through our payment processor. By subscribing, you authorise us to charge the applicable fees for your chosen plan and billing cycle. Fees are payable in advance and are non-refundable except where required by law or expressly stated by us. If a payment fails, we may suspend access to paid features until the amount due is settled.
8. Availability and Support
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance and updates. Support is provided by email at [email protected].
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. On termination, your right to use the Service ends. Where reasonable, we will give you an opportunity to export your data before deletion, subject to any legal retention obligations.
10. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties not expressly set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for your own invoicing, tax, and regulatory compliance.
11. Limitation of Liability
To the maximum extent permitted by law, Digivet Systems (PTY) LTD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Republic of South Africa, and any dispute relating to them is subject to the jurisdiction of the South African courts.
